Markets Served

The markets we serve extend across the United States and into Canada. While we have a great deal of experience representing Canadian companies that are doing business in the United States, we do not practice Canadian law. We do maintain a specific expertise in cross-border transactional law. In Buffalo, we are thought of as a local firm, but our client base extends through New York City and Toronto, with significant clients in Texas, Nevada, Indiana and Ohio.

Cross-border cases frequently involve a common set of issues, including tax and immigration issues. We are familiar with these issues and help our clients anticipate matters that will arise as they do business in this country. A crucial element in any cross-border transaction is trust in the people and the process, especially when two parties come from different countries. In that case, it is the knowledge and experiential depth that we bring to the process that creates confidence and trust.

Client Needs

While we do not practice Canadian law, we have a very significant clientele in Canada who are:

  • doing business in the United States directly or through U.S. subsidiaries
  • seeking immigration advice for personal or business reasons
  • seeking trademark or other intellectual property protection in the United States
  • raising money through private equity offerings in the United States
  • trading on a U.S. securities exchange which requires SEC compliance

We also represent the Buffalo and Fort Erie Public Bridge Authority (the "Peace Bridge") as its U.S. general counsel.

Representative Situations

Having focused on the Canadian market for more than 20 years, we have experience with the unique cross border issues that Canadian businesses experience in the U.S. A list of representative situations that we are regularly involved with include acting for clients who:

  • have expanded their business operations in the United States
  • have securities cross-listed on both the Toronto Stock Exchange and a U.S. exchange
  • regularly place skilled persons in the U.S. to perform work over short-term or extended periods
  • have intellectual property that requires protection in both countries
  • require access to U.S. capital markets
  • are undertaking a business combination or other significant transaction with a U.S. company
  • have cross-border estate planning issues
  • have a material legal compliance matter such as tax liability (including sales tax) or securities compliance
